Agreement to Terms
By accessing and using ClassCircles, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our platform. These terms constitute a legally binding agreement between you and ClassCircles.
Your use of our platform is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.
Eligibility and Account Registration
You must be at least 18 years old and have graduated from a recognized educational institution to use ClassCircles. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide during registration is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
Verification and Cohort Membership
ClassCircles uses Facebook authentication and verification processes to confirm your school affiliation and graduation year. You agree to provide accurate information about your educational history and authorize us to verify this information through available means.
Falsifying your educational credentials or attempting to gain unauthorized access to cohorts for which you are not eligible constitutes a material breach of these Terms and will result in immediate account termination. We reserve the right to request additional documentation to verify your eligibility for specific school chapters.
Acceptable Use and Community Standards
You agree to use ClassCircles only for lawful purposes and in accordance with these Terms. You will not use the platform to harass, abuse, threaten, or intimidate other users, post false or misleading information, or engage in any activity that could damage the reputation or functionality of our services.
You may not use automated systems or software to extract data from our platform without our written permission. You will not attempt to gain unauthorized access to any portion of the platform, other user accounts, or computer systems connected to our services through hacking, password mining, or any other means.
ClassCircles is intended to facilitate authentic alumni connections. You may not use the platform for commercial solicitation, spam, or promotional activities unless you have entered into a separate agreement with us for promoted posts or job listings.
Content Ownership and License
You retain ownership of any content you post on ClassCircles, including messages, photos, reunion plans, and profile information. However, by posting content on our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content as necessary to operate and improve our services.
You represent and warrant that you own or have the necessary rights to all content you post and that your content does not violate any third-party rights or applicable laws. We reserve the right to remove any content that violates these Terms or that we deem inappropriate for our platform.
School Chapter Subscriptions
School chapters may subscribe to enhanced services through our platform. Subscription fees are billed monthly and are non-refundable except as required by law. Schools are responsible for designating authorized administrators and managing access to chapter management tools.
We reserve the right to modify subscription pricing with 30 days notice. Chapter subscriptions may be canceled at any time, with access continuing through the end of the current billing period. Schools are responsible for ensuring that their designated administrators comply with these Terms and our community standards.
Job Listings and Promoted Content
Organizations posting job listings or promoted content on ClassCircles must comply with all applicable employment and advertising laws. Job listings must be for legitimate employment opportunities and may not discriminate based on protected characteristics under Japanese law.
We review all job listings and promoted content for compliance with our standards, but we do not verify the accuracy of employer claims or endorse any particular opportunity. Users who respond to job listings do so at their own risk, and we are not responsible for the conduct of employers or the outcome of any employment relationships.
Fees for job listings and promoted posts are non-refundable once content has been published. We reserve the right to reject or remove any listing or promoted content that violates these Terms or our content standards.
Intellectual Property Rights
The ClassCircles platform, including its software, design, logos, and content created by us, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.
The ClassCircles name, logo, and all related marks are trademarks of ClassCircles and may not be used without our authorization. Any unauthorized use of our intellectual property may result in legal action and account termination.
Third-Party Services and Local Business Partnerships
ClassCircles partners with local businesses to offer discounts and benefits to alumni members. These partnerships are subject to the terms and conditions of each business partner, and we are not responsible for the products, services, or conduct of third-party providers.
When you engage with third-party services through our platform, you may be subject to additional terms and conditions imposed by those parties. We encourage you to review these terms carefully before engaging with external services or making purchases through partner businesses.
Privacy and Data Protection
Your use of ClassCircles is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our platform, you consent to our data practices as described in the Privacy Policy.
You acknowledge that information you share within your cohort will be visible to other verified members of that cohort. While we implement privacy controls and security measures, you should exercise caution when sharing sensitive personal information with other users.
Disclaimer of Warranties
ClassCircles is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our platform will be uninterrupted, error-free, or free from viruses or other harmful components.
We make no warranties regarding the accuracy, reliability, or completeness of content posted by users or third parties on our platform. You use ClassCircles at your own risk, and we are not responsible for any damages resulting from your use of or inability to use our services.
We do not verify the identity, credentials, or background of users beyond the school verification process. You are responsible for exercising appropriate caution when interacting with other members and should independently verify any information before relying on it.
Limitation of Liability
To the maximum extent permitted by law, ClassCircles and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our platform.
Our total liability to you for any claims arising from these Terms or your use of ClassCircles shall not exceed the amount you have paid us in the twelve months preceding the claim, or 10,000 yen, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless ClassCircles and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of another party.
This indemnification obligation survives the termination of your account and your use of ClassCircles. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
Termination and Account Suspension
We may terminate or suspend your account and access to ClassCircles immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the platform will cease immediately, and we may delete your account and associated data in accordance with our data retention policies.
You may terminate your account at any time by following the account closure process in your settings or contacting our support team. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of ClassCircles shall be resolved through good faith negotiations between the parties.
If a dispute cannot be resolved through negotiation, the parties agree to submit to the exclusive jurisdiction of the courts located in Osaka, Japan. You waive any objection to venue or inconvenient forum in these courts.
Changes to Terms and Service Modifications
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our platform and updating the "Last Updated" date. Your continued use of ClassCircles after such changes constitutes your acceptance of the modified Terms.
We may also modify, suspend, or discontinue any aspect of our platform at any time without liability. We will provide reasonable notice of significant changes that materially affect your use of the platform, but we are not obligated to maintain any particular features or functionality.
